Transactional Attorney
Newland & Associates, PLLC represents and advises clients in all areas of construction and business law. We are seeking a transactional attorney for our estate planning, business transactional, and tax advisory practice. We provide a full range of business services, including full-service estate planning, business succession planning, business formation, organization and restructuring, mergers, sales, acquisitions, and all areas of taxation.
Responsibilities
Negotiate, draft, review, and revise a variety of contracts, amendments, responses to requests for proposals, and other transactional legal documents.
Prepare and organize documentation for mergers, acquisitions, and corporate reorganizations.
Oversee entity formation, joint ventures, regulatory compliance, and corporate record maintenance.
Draft, review, and revise estate planning and wealth preservation documents designed to maximize asset value and minimize tax exposure.
Advise clients on compliance with applicable regulations, laws, and policies while identifying legal and business risks.
Perform in-depth research on federal, state, and local tax codes, IRS rulings, and regulations to inform wealth preservation strategies, entity structuring, and tax controversy positions.
Correspond with the IRS and other taxing authorities on client matters.
Provide tax controversy representation as needed.
Engage in client communications and outreach as necessary.

Qualifications
Juris Doctorate required
Active member in good standing with the Arkansas bar or willingness to obtain such standing
Located or willing to relocate to Little Rock, Arkansas
0 to 5 years experience in business law. This position is open to new graduates.
