Transactional Attorney


Newland & Associates, PLLC represents and advises clients in all areas of construction and business law. We are seeking a transactional attorney for our estate planning, business transactional, and tax advisory practice. We provide a full range of business services, including full-service estate planning, business succession planning, business formation, organization and restructuring, mergers, sales, acquisitions, and all areas of taxation.

Responsibilities

  • Negotiate, draft, review, and revise a variety of contracts, amendments, responses to requests for proposals, and other transactional legal documents.

  • Prepare and organize documentation for mergers, acquisitions, and corporate reorganizations.

  • Oversee entity formation, joint ventures, regulatory compliance, and corporate record maintenance.

  • Draft, review, and revise estate planning and wealth preservation documents designed to maximize asset value and minimize tax exposure.

  • Advise clients on compliance with applicable regulations, laws, and policies while identifying legal and business risks.

  • Perform in-depth research on federal, state, and local tax codes, IRS rulings, and regulations to inform wealth preservation strategies, entity structuring, and tax controversy positions.

  • Correspond with the IRS and other taxing authorities on client matters.

  • Provide tax controversy representation as needed.

  • Engage in client communications and outreach as necessary.

Qualifications 

  • Juris Doctorate required

  • Active member in good standing with the Arkansas bar or willingness to obtain such standing

  • Located or willing to relocate to Little Rock, Arkansas

  • 0 to 5 years experience in business law. This position is open to new graduates.
